Background

Jordan Chirico managed portfolios for two investment funds while employed by Leucadia Asset Management. Fund agreements required advancement of reasonable expenses to LAM employees involved as parties or witnesses in proceedings connected with fund work. After Chirico left LAM, he incurred legal expenses in a Justice Department investigation involving bonds purchased by the funds and in federal litigation brought by the funds' general partner.

The funds moved to dismiss, arguing that former employment ended Chirico's rights, that the federal action was an excluded internal dispute, and that his employment agreement displaced any advancement right. Supreme Court accepted those arguments and dismissed the amended complaint before development of a factual record.

The Court’s Holding

The First Department unanimously reversed. At the pleading stage, Chirico plausibly alleged entitlement to advancement. The fund agreements expressly stated that indemnification continued for an indemnitee who had ceased serving in the relevant capacity. The federal litigation's inclusion of 66 defendants unaffiliated with the funds supported the allegation that it was not merely an internal dispute.

Documentary evidence also did not conclusively establish that the funds were affiliates of the Jefferies companies for purposes of a limitation in the employment agreement. Advancement is a timing right designed to fund a defense while covered proceedings continue, distinct from an ultimate determination of indemnification. The ruling permits Chirico to pursue payment without deciding final allocation of the expenses.

Key Takeaways

  • Survival language can preserve advancement rights after an employee or manager leaves service.
  • Courts enforce advancement as a present contractual payment right, separate from final indemnification.
  • An affiliate limitation defeats a pleading only when documentary evidence conclusively establishes the relevant relationship.

Why It Matters

The decision should be used with close attention to its procedural posture. A pleading decision asks whether well-pleaded allegations state a claim and whether documents conclusively defeat it; summary judgment requires admissible proof eliminating material factual disputes; and Article 78 review asks whether agency action was rational rather than whether a court would make the same policy choice. New York practitioners should identify the precise burden the prevailing party met before applying the opinion to a new record.

For litigation teams, the practical response is to preserve the contracts, communications, account records, hearing transcripts, and contemporaneous business documents that the panel treated as decisive. Transactional and compliance teams should convert the holding into clearer drafting, approval, recordkeeping, and escalation procedures. Early attention to standing, preservation, forum, and the requested remedy can prevent a strong substantive position from being lost on a threshold issue.
